Role (Why position exists) Oversee the legal aspects of business and safeguard reputation by guaranteeing that the company strictly follows law guidelines and give legal advice to management about all relevant issues.
Main Responsibilities 1.Acquainted and up to date with the latest developments in the laws of India: Legal principles, jurisprudence and practices in both civil and criminal laws including without limitation Constitution of India, Civil procedure Code, 1908, Indian Contracts Act, 1872, Sale of Goods Act, 1930, Specific Relief Act, 1963, Arbitration and Conciliation Act, 1996, Right to Information Act, 2005, Code of Criminal Procedure, 1973, Indian Penal Code, 1860, Indian Evidence Act, 1872, Negotiable Instruments Act, 1881, Companies Act 1956 and 2013, the Insolvency and Bankruptcy Code, 2016, various intellectual property laws, various labour and employment laws, Transfer of Property Act, 1882, etc. Vell Versed with the principles and doctrines enshrined in Administrative laws, Jurisprudence, Interpretation of Statutes, etc
2. In-House Legal Expertise vis-a-vis.Commercial Understanding: Ability to demonstrate the trait of business enabler and make commercially savvy decisions and connect with business teams. Deftness to help make strategic decisions based on commercial and legal analysis.
3. Demonstrating Value: Should be able to add considerable and noticeable value by encouraging a greater understanding of financial and non-financial risk, support the departments of the company so as to eliminate or limit the exposure of the company to any impending or threatened legal risks and liabilities. Identify, manage and mitigate risk and strengthen business support.
4. Statutory & Regulatory support and updates: To keep up to date with the legislative advances / changes which may have a business impact and accordingly render timely advice to the Corporate and Regions. Skill in interpreting applicable laws, regulatory policies & procedures, case laws.
5. Legal Drafting & Management: Write, review and analyze various legal pleadings, affidavits, plaints, written-statements, petitions, replies, rejoinders, powers-of attorney, board resolution draft and file legal notices, responses to legal notices, review/vet contracts, deeds, due diligence reports, written opinions and other legal documents, identify potential legal issues and support suitable legal documentation etc. Proactive legal service with emphasis on providing commercial advice.
6. Litigation Management: Conversant with the functioning and procedures of Courts/ Quasi Judicial Authorities in India (specifically in Kolkata) w.r.t. various kind of litigations. Effectively liaise with advocates and solicitors for updates on pending litigation, management of litigation costs, strategizing and deliberating the next steps. General overseeing, updating and management of all company litigation matters. Updating and management of the IP portfolio of the company including updating and management of various IP registrations of the company in trademarks, copyrights, patents, designs, as may be applicable. Drafting necessary legal/cease & desist notices for infringement of the company s intellectual property. Management of any and all infringement/passing-off actions taken by and against the company.
7. Mergers & Acquisitions: Experience in the structuring and execution of M&A transactions, including planning for and managing due diligence, drafting transaction documents, handling closings and integration planning, implementation and execution. Educational Qualifications LLB from reputed college recognised by Bar Council of India with excellent educational background. Post Graduation in Law would be an additional advantage.
Experience At least two years of relevant experience of practising as a generalist lawyer independently or under a legal firm.
