Job Profile:A. Secretarial and Compliance Function:- Deep knowledge and Strong understanding of compliances and interpretations on provisions of the Companies Act, 2013 and applicable rules thereon, Secretarial Standards and guidelines issued by ICSI on a time-to-time basis.- Timely update on addition of new regulations/laws and/or modification to existing regulations/laws and impact of the same on the Company.- Deep understanding w.r.t. ESOP Schemes and management of ESOPs and experience in working on the same.- Liaising with MCA, Registrar of Companies, SEBI, Stock Exchange and other regulatory/statutory authorities to ensure accurate understanding as well as smooth process to facilitate the implementation of compliances.- Liaise and co-ordinate with NSDL, CDSL, Share Transfer Agents and Registrars, internal departments, lawyers, auditors etc.- Drafting of internal policies, processes and documentation to ensure that they are in compliance with all statutory or legal requirements.- Preparing/Drafting of Compliance Report on a regular basis.- Assistance in drafting of a compliance framework/process note to ensure all applicable laws are fully adhered to.- Collating data requirements w.r.t. various audits/due diligence and follow up on the action points arising out of audit observation.- Maintenance and updation of statutory registers, minutes book, attendance registers in compliance with Companies Act, 2013, rules and regulations thereon and secretarial standards.- Drafting of relevant papers, minutes, resolutions etc. thereof of Board, Committee, General Meetings and preparation of other secretarial documents like Directors Report.- Drafting of reply to RoC, Reserve Bank of India, Stock Exchanges and various other regulatory authorities.- Timely annual filings, filing of various forms with ROC under the Companies Act, 2013, SEBI LODR, RBI, FEMA, FDI as per the regulations applicable to the Company and ensuring timely updation of website.B. Legal Function:- Drafting/vetting of documentation during fundraising and related documentation including term sheets, Shareholders Agreements and transaction documents pertaining to Securitisation Agreement, Direct Assignment, PTC transactions.- Drafting/vetting of various agreements/documents like NDA, Leave & License Agreement, Channel Partner Agreements, Agency Agreements, Engagement letters, Management Representation Letters, Support Service Agreements.- Drafting/Alteration of loan documents in connection with loans granted by the Company to its borrowers.- Prepare & send legal notices to clients, filing of legal or civil case against debtors defaulting payments under Negotiable Instrument Acts, Arbitration and Insolvency and Bankruptcy Board of India Act and coordination with lawyers regarding the same.- Legal Document Repository - Manage and oversee the Companys commercial contracting purposes, including contract forms and legal contracts repository. Collaborate with stakeholders and account owners/departments to educate internal stakeholders on compliance, legal and data protection requirements and to continuously promote a culture of compliance, integrity and data protection internally.Competencies:- Experience in NBFC/Banks is desirable.- Excellent command of spoken and written English.
