Job Description

  1. Post : Assistant Company Secretary
  2. Education/qualifications: CS with LLB Degree
  3. Exp : 2-3 years min
  4. Date of joining : 1stMay 2021
  5. Lunch : At School Cost
  6. Timings : 9 am to 5 pm ( 5 and half working days 2ndSaturday off)
Tentative JD:Key Responsibilities:
  • Preparation of minutes of Board Meeting, Board Meeting Notice and Extra Ordinary General Meeting, Annual General Meeting , Preparation of Directors Report and Minutes.
  • Preparation and filing of various E-forms with ROC.
  • Maintenance of all statutory Records and Registers as required under the provisions of Companies Act, 1956 and Companies Act 2013 and other applicable laws.
  • Processing of Director Identification Number Application & Digital Signature Certification.
  • Filling up Statutory Registers of Companies and preparation of Share Certificates and Share Transfer Forms, if any.
  • Filling Monthly ECB Return ( as long as it is there ) and ECB Loan related compliances as per RBI guideline.
  • Liaisoing for processing of Digital Signature Certificate and Renewal Procedure of the same.
  • Annual Return Filling and XBRL Filling.
  • Alteration in Memorandum & Articles of Association of the Company processes e.g. Change of Name of the Company, Alteration in Main Object Clause, and Alteration in the Capital Clause and Increase of Authorized Capital etc.
  • Documentation related to Allotment of Shares & Increased in Authorized share Capital, Conversion of ECB Loan in to Equity, Conversion of Export Advances in to Equity.
  • Preparation of Compliance Certificate, if any.
  • Appointment & Resignation of Directors & Filing of related e Forms.
  • Filling FCGPR after revision of Share capital.
  • Filling Annual FLA Return as per RBI Guideline.
  • Processing of SVB Related documentation and visit to Government Authorities when required.
  • Transfer Pricing Return Filling and Study report and preparation of related documentation
  • To Handle Related Party Transaction.
  • Handling all Legal MatterS
