Job Description

    Job ObjectiveDesignation : Assistant Vice President-Company SecretaryLocation -GurgaonWhatHow Measure of SuccessWeightCompliance1. Completing Gap Analysis between the Identified Compliances and laws applicable on the company;2. Create Comprehensive compliance tracker for RBI, Companies Act, SEBI regulations, HR and Labor laws etc.3. Following up on the Compliances handled by HR Dept. or any other Dept. on monthly basis;4. Completion of Secretarial audit;5. Help in framing and maintaining Policies that are applicable on the Company6. Addressing investors (Shareholders and Debenture Holders) grievance and its timely redressal1. Adherence to compliance requirements and Comprehensive Compliance tracker to be made upto 31st July 2019.2. Reminders to department for the periodical compliances before end of the month by 25th3. Departments to send updates on compliances done during the month by 5th of every month;4. Updating Comprehensive Compliance Tracker and publishing the tracker by 10th of every month starting from the month of August 2019;5. Satisfactory Secretarial Audit rating;6. Maintaining a Policy Tracker and update the same every quarter by 10th (starting from end of Q2)7. Quarterly report on Investor grievances and its redressal (Shareholders and Debenture Holders) (10th day from end of the quarter)60%Compliance Automation and Repository1. Automation of Compliances through Navision to the extent possible;2. All Compliance related documents to be maintained on Google Drive;1. Maintaining Centralised Repository of all the returns/forms submitted on behalf of the company across all departments upto 31st August 2019;2. Updating Centralised Repository on monthly basis by 15th of every month.3. Automation of Compliances and publishing automated Compliance tracker by 30th September4. Google form to investors for investor grievance by 31st August 201915%Support Corporate Strategy1. Help in Internal and Statutory Auditor2. Assistance in finalization and execution of legal documents for raising debt;3. Timely repayment to Debenture holders of the Company4. Maintaining tracker of the notices issued to the Company5. Relationship development with RBI1. Revert to audit observations within 30 days of the submission of report by the Audit department2. Satisfactory Internal Audit Rating upto at least 50% rating.3. Ensure timely documentation for raising debt;4. Notice tracker to be published by 10th of every month (Starting from the month of August 2019)10%Support to FAME1. Conducting Board/Shareholders meeting of FAME;2. Ensuring timely ROC compliances1. Publishing Compliance tracker by 10th of every month10%Knowledge Enhancement1. Identifying websites for getting regular updates on significant amendments/new law applicable .1. Publishing a monthly report on such significant updates to all the Departments by 5th of every month (starting from the month of July 2019)5%
