Associate Partner Corporate Secretarial ServicesEY provides Corporate Secretarial Services as part of the Global Compliance and Reporting segment. The firm is currently in the process of ramping up the business and is looking for an experienced professional to lead the same.The opportunityAssociate Partner heading Corporate Secretarial Services at the National Level. Role can evolve into a Partner role based on performance. If the candidate profile, experience and expected contribution meets a Partner profile, we will consider a direct Partner hire. Location leads are in place for Bangalore, Hyderabad, Chennai (in process), Pune, Delhi and Mumbai and there are approximately 28 team members pan India.Your key responsibilities Markets focus: A critical focus area for this role is to aggressively build the practice through client acquisitions and expansion of existing suite of service offerings. Refresh collateral materials / talk tracks, help generate thought leadership and create corporate secretarial fora/ networks as a means of driving market activity. Enhance branding / awareness of the services both internally and externally (ie outside EY) Ensure the practice wide development of relationships at the levels of CFO, Head of Legal, Company Secretary, Compliance Officer and Board members, in client organizations. Grow the annuity portion of our revenues as a proportion of overall revenuesQuality & Risk Management Strong personal technical base and establishes a team of technically skilled professionals across locations Builds a strong knowledge culture within the organization founded on periodic learning & development, knowledge/experience sharing etc Establishes systems/processes for standardization of technical positions, proposals, client deliverables, checklists, etc Adherence to the firm s risk management framework by ensuring appropriate review protocols, well documented opinions, following independence policies etc. Skills and attributes for successGood energy, strong verbal and written communication skills, Strong client handling skills/experience Strong relationship building / collaboration skills (as our captive client base is a principal source of referral work)To qualify for the role you must haveQualified Company Secretary (+ Law degree would be an added advantage) 12-15 years of post-qualification experience Deep knowledge of Companies Act, SEBI (LODR), IBC Experience of working with both listed and unlisted companies Experience on working with both domestic ie India HQd companies and inbound MNCs Experience with transaction support (mergers, demergers, buy backs, capital reductions, liquidations, share issuance/transfers etc.) Experience with advisory (opinions), compliance, health checks, meeting management (Board/Shareholders) and company/LLP set ups and exits) Dealing with regulatory authorities viz. Registrar of Companies, Regional Director, National Company Law Tribunal, Stock Exchanges, SEBI etc) Exposure to technology and Point of View on driving both Technology adoption for internal efficiencies and independent Corporate Secretarial Technology solutions for the market Familiarity with Governance matters (Board / Committee roles/responsibilities; policies, disclosures and standard operating procedures, Board evaluation frameworks etc) would be an advantage.
