    Job Location - Gurugram (udyog vihar)Company - Listed NBFC and Microfinance Company.Position - Company SecretaryQualification - Company SecretarySalary - Upto 7L PAExperience - 2 to 5 years of corporate experience (Post Qualification-Preferably with Listed Company)Please find the detailed JD below.If interested send your updated CV -hidden_emailContact hidden_mobileECONNEXIONS HR, MUMBAI=================================================Role Responsibilities -Assist in compliance of the provisions of Companies Law and rules made thereunder;Assist in compliances with Secretarial Standards for Board / General Meetings.Having knowledge and experience of Listing and other SEBI related regulations like PIT,SAST and ESOP.Statutory Filings with MCA, RBI, Stock Exchanges and other Regulators.Active participation in the Secretarial Audit of the Company.Liaising with MCA authorities, group companies, promoters, statutory and secretarialauditors, law firms.Coordinate for routine Registrar and Transfer activities such as transfer, transmission andissuing duplicate share certificates and handling problematic cases related to investorsgrievances.Drafting of Annual Report of the Company.Knowledge of compliances relating to Foreign Direct Investment (FDI) / ExternalCommercial Borrowing (ECB) and other FEMA related provisions.Liaising with subsidiaries for compiling data.Assist, participate, partner with internal and external stakeholders in areas of CorporateSocial Responsibility, communication with various stakeholders, Government, Regulators,Authorities etc.,Assisting in drafting legal contracts and commercial agreements and ensuring that contractsare in compliance with legal, regulatory, RBI and organizational policies.This list should not be regarded as exhaustive and the position holder will be expected to deliverother duties that are relevant and appropriate to this scope.Should be well versed in handling MS Excel, MS Office, MCA Portal and Stock Exchanges.
