Job Description

    Role : Tax Due Diligence (TDD)- Review of target companys state and federal income tax returns- Support the Strategy team in assessing the tax implications, structure, provisions, and liabilities of M&A transactions, in addition to conducting tax diligence for potential M&A targets (Direct and indirect tax)- Assess historical and future tax liabilities and the potential to offset these taxes against the costs of the acquisition.- Suggest appropriate deal transaction structures to minimize various existing and potential tax liabilities that may arise upon deal consummation (for domestic and cross-border deals)- Review of historical tax audit reports of the Target, and highlight areas of concern/s- Understand the tax laws, provisions, and relevant statutes of the jurisdiction(s) in question.- Understand the sales and use taxes implications post-transaction for the newly merged entity.- Review of target companys tax audits- Evaluate findings of previous audits and if possible, what prompted them.- If the tax audit is ongoing, assess what impact this will have on the transaction.- Understand the target companys methods of accounting and implications for different accounting methods between the Target and the Acquirer- Ensure that there are no tax hangovers from changes in accounting methods made over the previous 5 years.- Understand the target companys foreign tax environment (if applicable)- Understand the companys tax liabilities in the jurisdiction(s) in question.- Establish the differences in sales and use taxes with the target company, particularly if theyre operating in a different industry.- Understand the sales and use taxes implications post-transaction for the newly merged entity.,
