Job Description

    Company Secretary, Legal & Compliance Head- NBFCWe are seeking a highly skilled and experienced individual for the position of Company Secretary, Legal & Compliance Head for one of our esteemed NBFC clients . This role involves overseeing all legal and compliance matters within the organization, ensuring adherence to relevant laws, regulations, and internal policies. The ideal candidate will have a strong legal background, exceptional attention to detail, and the ability to effectively manage a team.Responsibilities: Corporate Governance: Act as the primary point of contact between the board of directors, senior management, and shareholders. Organize and facilitate board meetings, including drafting agendas, preparing minutes, and ensuring compliance with corporate governance requirements. Maintain statutory registers and records, including the register of members, directors, and significant shareholders. Compliance Management: Develop. implement, and oversee policies and procedures to ensure compliance with all relevant laws, regulations, and internal policies. Conduct regular compliance audits and assessments to identify areas of non -compliance and develop remediation plans. Provide training and guidance to employees on compliance-related matters to promote a culture of ethical conduct and adherence to standards. Team Management: Recruit, train, and supervise a team of legal and compliance professionals to ensure effective support for the organizations legal and compliance needs. Foster a collaborative and supportive work environment that encourages professional development effectively. Allocateresourcesefficientlyandeffectivelytomeetdepartmentalgoalsandobjectives. Requirements:Proven experience working in a similar role, preferably within the same industry or sector. In-depth knowledge of corporate governance principles, legal regulations, and compliance standards. Strong analytical skills with the ability to assess complex legal and regulatory issues and provide practical solutions. Excellent communication and interpersonal skills, with the ability to liaise effectively with stakeholders at all levels. Demonstrated leadership ability with a track record of effectively managing teams and driving results. High level of integrity and ethical conduct, with a commitment to upholding the highest standards of professionalism and compliance. Ability to work independently and manage multiple priorities in a fast-paced environment. Proficiency in relevant software and technology tools for legal research, docum ent management, and compliance tracking. Preferred Requirement: Legal Advisory Provide legal guidance and support to various departments within the organization, including but not limited to contracts, employment law, intellectual property, and regulatory compliance. Review and negotiate contracts, agreements, and other legal documents to ensure compliance with applicable laws and regulations. Stay updated on changes in legislation and industry regulations relevant to the companys operations and advise senior management accordingly. Risk Management: Identify potential legal and regulatory risks facing the organization and develop strategies to mitigate these risks. Work closely with senior management to assess the impact of legal and regulatory developments on business operations and strategic initiatives. Establish and maintain effective risk management processes to proactively address legal and compliance risks. Preferred Qualifications: Masters degree in Law or related field. Bachelors degree in Law from a recognized institution; additional qualifications such as a Company Secretary certification would be advantageous. Previous experience serving as a Company Secretary or in a similar governance role. Familiarity with industry-specific regulations and compliance requirements.
