Job Description

    The position in discussion is with Integration & Separation (I&S), Technology in M&A within the Deal Advisory group at KPMG Global Services (KGS), which is KPMG s global delivery center and an integral part of the firm s strategy to enhance innovation, build scalability, and improve profitability globally. KGS Deal Advisory & Strategy group is a team of over 1100 professionals based in Gurgaon and Bangalore. KGS DA&S has been providing solutions to KPMG member firms globally. By leveraging insights and applying best practices, the team helps create customized approaches to M&A transactions. The team s capabilities include Corporate Finance, Transaction Services, Strategy, Business Modeling, Accounting Advisory Services, Deal Advisory Research and Benchmarking.KPMG s Integration & Separation team (ISA) advises clients on executing the operational integrations of acquisitions or joint ventures, and separations of businesses, in the case of divestitures or sale. I&S does this by taking an enterprise wide view of M&A deals, across all the functions, to deliver value to our clients. In addition, team is also involved in pre-deal Due Diligence on specific areas of business. The Technology in M&A team is involved in pre-deal and post-deal execution work related to technology strategy, with focus on identifying potential risks, synergies and optimization of the IT function. The team works on a wide range of technology due diligence and operational integration activities which includes TSA development, Integration Readiness, Day 1 preparation and supporting the implementation of such plans. Roles and Responsibilities We are recruiting for a Manager in the Technology in M&A team. In this role, you will work on projects working closely alongside senior members of the team, who will provide guidance and insight into the deal environment, enabling you to build your transactions knowledge and further develop your technology skills base. Your responsibilities will include
    • Leading small to medium sized engagements (technology due diligence, post-merger integrations, carve outs) and being the day to day support for clients on these engagements
    • Supporting the Senior Managers in both India and the UK on the delivery of multiple projects simultaneously
    Due Diligence
    • Managing the end to end due diligence project to include:
    • Overseeing client communications
    • Leading clients calls and meetings where possible
    • Reviewing the report content produced by Assistant Managers and Consultants and producing content for complex sections of the report
    • Contributing to and reviewing technology related deal and transaction reports
    • Providing insights on IT aspects of the deal that are relevant to the client and readers of the IT due diligence reports and to be able to explain issues simply, highlighting the impact of technology on business strategy, operations and, ultimately, deal valuation
    Integration and Separation
    • Advising clients and managing all client communications on all technology aspects of integration, separation (carve outs) and optimization initiatives (e.g. synergy analysis) including the development of target operating models, understanding the current IT landscape, defining transitional service agreements, developing detailed plans, and supporting the implementation of such plans
    • Leading the technology workstream in integrations and separations within a larger team of Integration & Separation colleagues to fulfil their workstream objectives
    • Facilitating and leading key client workshops and meetings
    • Identifying, reviewing, or calculating client synergies for IT within a larger team
    Wider responsibilities
    • Interacting with senior client stakeholders as well as internal stakeholders (KPMG Partners and Directors)
    • Responsibility for ensuring engagement management protocols are followed and kept up to date including quality and risk management
    • When you are not working on a project, you will provide support to senior colleagues in a number of different aspects such as preparation of proposal materials and the development of propositions
    • Managing the performance of junior staff members through coaching and mentoring
    • Supporting the growth of the team through development of new propositions and initiatives
    , * Mandatory Skills
    • MBA / Bachelor s degree in a related field from an accredited college/university preferably with major in Technology
    • MCSE or other relevant IT certification preferred, or equivalent experience
    • The candidate must have 10 to12 years of technology consulting experience focused on the deal advisory and due diligence
    • Experience in implementing Information Technology processes, technologies, best practices, and frameworks, including:
      • Application Support & Maintenance
      • Network & Data Center Operations Management
      • Software Development Life Cycle
      • Service Management
      • Security
      • Disaster Recovery/Business Continuity
      • Cloud-based Deployment Models (e.g., Infrastructure-as-a- Service) Software Asset Management/Compliance
      • Infrastructure Optimization (e.g., consolidation, rationalization, cost savings)
      • Service Level Definition and Agreements / IT Scorecard and Metrics
    • Knowledge/certification in Information Technology Infrastructure Library (ITIL) service management and service support processes, and CMM SEI and/or CoBiT standards
    • Knowledge about enterprise business applications (e.g. ERP, CRM)
    • Experience in assisting with technology assessment/diligence
    Preferred Skills
    • A good understanding of, or preferably a background in, an M&A environment
    • IT specialism such as: IT strategy, applications, infrastructure, architecture, cyber security
    • Leading and facilitation of client meetings, workshops and interviews
    • Leading / working within a team, including colleagues and clients
    • Track record of successful programme management and project delivery
    • Comfort with ambiguity, fluid consulting situations and a highly pressured environment as characteristic of transactions
    • Ability to work well under pressure, learn quickly and leverage skills in new situations
    • Ability to travel at a moderate level
